Extraordinary General Meeting – Tuesday 6 May 2025, 6 PM, Strathmore Cricket Club

At its AGM on Friday 13 December 2025, the members instructed the Management Committee to establish a new Scottish Charitable Incorporated Organisation (SCIO) in the name of Strathmore Cricket Club and then to dissolve the existing Unincorporated Association known as Strathmore Cricket Club (the current club), transferring the club’s assets to the new charity.

 The reasons for adopting this course are to:

 • Strengthen the Club’s position to enter legal contracts with suppliers, partners and staff.

• Provide greater legal protection for the members who serve on the management committee.

• Open access to a wider range of potential funds to support all the work that the club is involved in.

 

This process involves:

• Creating a constitution for the new SCIO and having this agreed by the current club’s members

• Asking the current members to agree to the transfer of assets to the new SCIO

 

The purpose of the Extraordinary General Meeting on Tuesday 6 May 2025 is to seek members’ agreement on these two matters.

The Committee has developed a constitution for the proposed SCIO, which we believe both preserves the rights of our members and satisfies legal requirements.

If members support the Committee’s proposals, a submission will then be made to OSCR, the Scottish Charities Regulator, to create the new SCIO.

This is a very important meeting as it is proposing a fundamental change to the legal structure of the club, and we encourage as many members as possible to attend.
